Service Terms.

These Terms of Service ("Terms") govern your engagement with TelosVector for strategic intelligence, fractional leadership, and forensic market analysis. By initiating an engagement, you agree to operate within the parameters outlined below.

01. Scope of Advisory Services

TelosVector provides senior-led strategic intelligence, Go-To-Market (GTM) frameworks, and venture-readiness consulting. Our deliverables are strictly advisory. We do not provide licensed legal, financial investment, or accounting services. The implementation of our strategic blueprints and the subsequent market outcomes remain the sole responsibility of the client entity.

• Fractional Leadership: Embedded fractional CMOs act as strategic advisors to your executive board, not direct W-2 employees.
• Packaged Engagements: Sprints (e.g., Investor Ready Kits) are delivered strictly according to the pre-approved Statements of Work (SOW). Scope creep requires a secondary authorization.

02. Absolute Confidentiality & Non-Disclosure

Due to the forensic nature of our competitive analysis, confidentiality is non-negotiable. Both TelosVector and the engaging client automatically enter a mutual Non-Disclosure agreement regarding all proprietary models, data rooms, and strategic discussions shared during the engagement.

03. Intellectual Property Protocol

Ownership of assets generated during the engagement is distinctly categorized to protect both client innovations and our strategic frameworks:

• Client Ownership: Finalized, bespoke deliverables (Pitch Decks, specific GTM Blueprints, Market Landscaping data) become the exclusive property of the client upon full payment of the agreed-upon retainer or sprint fee.
• TelosVector Ownership: The underlying analytical frameworks, proprietary methodologies, and blank templates used to derive the strategy remain the exclusive intellectual property of TelosVector.

04. Financial & Retainer Protocols

We deploy senior expertise without junior analysts, necessitating strict financial alignment. All packaged engagements and modular strategic sprints require an initial deposit prior to the commencement of discovery. Fractional advisory engagements are billed as monthly retainers, payable in advance. Failure to fulfill payment terms will result in an immediate pause of strategic execution.

05. Limitation of Liability

TelosVector operates entirely on data-backed strategic intelligence; however, market conditions are inherently volatile. TelosVector, its principals, and affiliated partners will not be held liable for indirect, incidental, or consequential damages resulting from the execution of our strategic advice. Maximum cumulative liability under any circumstance shall be limited to the total fees paid by the client for the specific advisory module in question during the preceding 60 days.

06. Termination of Engagement

Either party may terminate a fractional advisory engagement with a 30-day written notice. Packaged sprints and A La Carte modules are non-cancellable once the primary discovery phase has commenced, due to the immediate allocation of senior intellectual resources.
